Professional Activities

Alexis Cloutier is an associate in the Capital Markets Group at the firm's Vancouver office, with a practice that focuses on transactional, regulatory and general corporate and commercial matters. Alexis has experience with a wide range of corporate and securities matters, including mergers and acquisitions, takeovers, business entity formations, corporate reorganizations, asset and share transactions, cross-border transactions, stock exchange listings, initial public offerings, and public and private financings. In addition, Alexis has experience with various mining law matters, including property option and joint venture agreements, royalty agreements, and technical report compliance.

Alexis also regularly assists public and private companies with continuous disclosure requirements, regulatory compliance and corporate governance matters.

• Acted for Silvermex Resources Ltd. on its merger with Genco Resources Ltd. becoming Silvermex Resources Inc., a silver and gold producer, valued at approximately $80 million
• Acted for Terrane Metals Corp. in its acquisition by Thompson Creek for $650 million.
• Acted for Tahoe Resources Inc. in its initial public offering which raised $383 million, and in its acquisition from affiliates of Goldcorp Inc. of the Escobal silver project in Guatemala
• Acted for Antofagasta Minerals S.A., of Santiago, Chile, on the US$227 million joint venture development of the Nokomis copper-nickel-PGM mining project with Duluth Metals Limited
• Acted for Teck Resources Limited in the completion of the sale of 100% of the jointly held Agi Dagi and Kirazli gold projects located in Turkey to Alamos Gold Inc. for US$40 million
• Acted for Western Pacific Resources Corp. in its initial public offering and TSX Venture Exchange listing
• Acted for Teck Resources Limited (formerly Teck Cominco Limited) in the US$110 million sale to Kinross Gold Corporation of its 60% interest in the Lobo Marte copper/gold project in Chile
• Acted for CML HealthCare Inc. in its acquisition of Associated Diagnostic Radiologists (with three medical imaging clinics in the Greater Vancouver Area)
