Professional Experience Brett is a partner in the firm's Corporate and Commercial Law Group. Her practice focuses on assisting domestic and foreign clients with negotiated transactions including mergers and acquisitions, asset and share sales, corporate reorganizations, private placements, private equity financings, venture capital financings and management buyouts. In addition, Brett regularly advises clients on corporate governance issues and day-to-day corporate and commercial matters including the review and preparation of complex agreements. She has represented clients in a number of sectors including food processing, engineering, pharmaceuticals, chemicals, manufacturing, transportation and gaming.

Brett is a member of the Canadian Venture Capital & Private Equity Association and is a member of the Executive Committee of Canadian Women in Private Equity. Representative Transactions

  • Acted as Canadian counsel for a U.S. private equity fund in the acquisition of a publically traded U.S. company with a Canadian subsidiary for a purchase price of approximately $525 million (2011)
  • Represented a direct investment fund in a series of venture capital financings in the clean technology, life sciences and digital media sectors (2010-2011)
  • Acted as Canadian counsel for a U.S. private equity fund in the acquisition of a business line from a S&P 500 company for a purchase price of $500 million (2010)
  • Negotiated critical services agreement with a value in excess of $100 million for Vancouver Olympic Games (2009)
  • Represented closely-held, family-owned company in a series of food industry transactions (2008 – 2010)
  • Acted for large engineering firm in acquisition and disposition of a series of engineering concerns (2007 – 2010)
  • Acted for international shipping company in acquisition of truck line (2008)  
  • Acted for US private equity fund in series of Canadian based acquisition transactions (2007 – 2009)
  • Acted for seller in disposition of Canadian manufacturer (2007 -2008)
  • Acted for Canadian private equity fund in series of acquisitions of closely held, family-owned manufacturing entities (2006 -2008)
  • Acted for members of management in management buyout of professional philanthropic firm (2006)
  • Advising a real estate investment bank in connection with a series of real estate acquisition transactions (2005 – 2008)
  • Acted for Canadian generic drug manufacturer in series of acquisitions of Canadian wholesale drug distributors (2005 – 2008)
  • Represented regional municipality in consolidation of municipal bus services to regional services (2005 – 2006)
  • Acted for Canadian/US closely-held shipping concern in the disposition of its assets (2005 – 2006)
  • Worked on corporate team representing Brookfield on corporate matters relative to Brookfield's intraconsortium documents for the acquisition of O&Y REIT, involving real estate assets valued in excess of $2.1 billion (2005)
