Professional Activities
Barry Finlayson, an associate counsel in the firm's Vancouver office, specializes in corporate, securities and natural resources law. Barry's clients range from junior to mature companies most of which are public and have been listed on one or more of the Vancouver, Toronto and New York Stock Exchanges, as well as NASDAQ.
Barry has a wealth of experience in assisting technology, mining and natural resources companies. He represents clients in the following range of transactions:
- Preparing all types of acquisition and development agreements for mineral properties from the exploration to the development stage.
- Preparing implementation and partner agreements for providers of information technology.
- Reorganizing private companies in both the resource and technology fields for going public.
- Corporate acquisitions and reorganizations by share purchase, arrangement and takeover bid.
- Canada/United States cross-border securities transactions.

Barry has participated in continuing legal education programs in British Columbia as a lecturer on mining law acquisition agreements and numerous client seminars pertaining to the resource acquisition and development agreements.
Representative Transactions
Some examples of Barry's recent representative client works include:
- Provided counsel to Yukon Zinc Corporation on construction contracts related to its Wolverine zinc-lead-gold-silver project in the Yukon Territory, 2009.
- Provided counsel to Yukon Zinc Corporation on its takeover by Jinduicheng Molybdenum Group Ltd. and Northwest Nonferrous International Investment Company, Ltd., May 2008.
- Acted on behalf of Glamis Gold in its plan of arrangement with Goldcorp Inc., November 2006.
- Acted as counsel to Glamis Gold Corporation in its acquisition of Western Silver Corporation, May 2006.
- Provided counsel to Selwyn Resources in the acquisition of an option on the Howards Pass zinc property in the Yukon Territory (Aug 2005) and in dealing with prospective strategic partners for development of the property since that time.
