Professional Activities
Laurel Petryk is a partner in the firm's Vancouver office. Laurel's practice consists of advising public and private companies on securities and corporate law matters with expertise in the area of mining. Laurel has extensive experience with strategic alliances, property option agreements, joint venture transactions, royalty agreements, confidentiality agreements, and other contracts related to mining projects and companies worldwide.
Laurel is an expert on the Canadian securities rule National Instrument 43-101 Standards of Disclosure for Mineral Projects, which is an international standard for mining related disclosure. She has written numerous articles on the subject, many of which have been published internationally as well as locally. Laurel has extensive technical and legal expertise reviewing technical reports and feasibility studies for mining companies in all stages of development.
Laurel regularly advises companies with respect to regulatory compliance, continuous disclosure requirements, and corporate governance. She has experience in corporate finance in local, national, and international markets, Toronto Stock Exchange and TSX Venture Exchange listings and compliance, private placements, and initial public offerings. She also has experience with mergers and acquisitions, corporate reorganizations and contract law.
Prior to joining the firm, Laurel was legal counsel with the British Columbia Securities Commission ("BCSC") in the corporate finance department. She also participated in various BCSC policy initiatives and assisted industry to understand and comply with their regulatory obligations.

Laurel has been involved in the following representative work:
- Antofagasta Minerals S.A. of Santiago, Chile - numerous option and joint venture earn-ins and strategic alliances for mining projects worldwide.
- Great Basin Gold Ltd. CDN$130 million equity financing.
- Keegan Resources Inc. bought deal share offering of CDN$19.3 million.
- Nord Resources Corporation US$23 million cross-border special warrant financing and listing on the Toronto Stock Exchange.
- Rockwell Diamonds Inc. Toronto Stock Exchange listing and inter-listing on the Johannesburg Stock Exchange with concurrent CDN$15 million private placement.
- Energy Fuels Inc. offering pursuant to a private placement to raise gross proceeds of CDN$30,100,000.
- Continental Minerals Corporation merger with Great China Mining.
- Gryphon Gold's initial public offering of 6.9 million units at a value of CDN$5.9 million.
