Marc is a transaction focused senior counsel with significant private practice and in-house experience in financial services with a particular focus on the energy projects and financings (including renewable energy). Marc was formerly in-house counsel for GE Energy Financial Services in Canada. Marc is now a member of McMillan's Financial Services Group with offices in both Vancouver and Calgary. He specializes in new commercial transactions, project financing, project development, private equity, joint ventures, general and limited partnership structures, syndicated credit facilities, structured finance transactions, aboriginal law, bankruptcy and insolvency and mergers and acquisitions.

Representative Matters

  • Represented GE on several debt and equity investments in energy related assets in Canada including wind, solar and run of river hydro facilities in BC and Ontario as well as several financing structures with a focus on senior and subordinated credit facilities, convertible debt, participations, development capital loans, term loan B facilities, preferred equity and structured project equity
  • Represented significant corporate borrowers and lenders in connection with syndicated (including cross border) credit facilities, structured finance transactions, acquisition financings, project financings, and other secured and unsecured debt financing transactions
  • Acted in connection with various public company matters representing issuers, investment dealers and other capital market participants in connection with capital market transactions, corporate reorganizations and restructurings 
  • Experienced in the area of cross-border private placements of debt and equity securities by U.S. institutional investors in Canada
  • Assisted on transactions involving issuers undertaking initial public offerings as well as for issuers and underwriters accessing national and international capital markets through equity and debt financings
  • Represented significant oil and gas clients in connection with major oil and gas asset acquisitions and dispositions, financing transactions, energy joint ventures, co-generation projects, projects and mergers and acquisitions
  • Assisted clients with the negotiation and drafting of a variety of commercial agreements, including purchase and sale agreements, EPCs, turbine supply agreements, maintenance agreements, management agreements, facilities ownership and operating agreements, transportation and storage agreements
  • Represented electric utility owners and operators and private power developers in connection with the development, construction, financing, purchase and sale, and operation of electric power, wind power, hydroelectric power, co-generation, combined cycle electricity generation and energy related projects
  • Extensive involvement in the acquisition and disposition of businesses of all kinds, including energy related assets and businesses
  • Advised clients on a broad range of general corporate, commercial and contract matters, including formation and capitalization of corporations and partnerships, shareholder agreements, employment agreements, consulting agreements, general commercial contracts, marketing, licensing and distributorship agreements
