Professional Experience Matthew is an associate practising in both the firm's Corporate and Commercial Law and Capital Markets Groups. His corporate practice involves all aspects of business law including mergers and acquisitions, private equity investments, asset and share transactions, business entity formations and corporate reorganizations. His securities practice focuses on public and private securities offerings, mergers and acquisitions, and structured products. Matthew also assists public and private companies, investment funds and registrants with general securities compliance, continuous disclosure requirements and corporate governance matters.

Matthew joined the firm as a summer student in 2005 and completed his articles with the firm in 2007. He completed a secondment at Bank of Montreal in 2010.

Matthew worked in the firm's Toronto office prior to joining the Vancouver office in 2011.
Representative Transactions

Mergers and Acquisitions

  • Acted for a Vancouver-based hosting services company in the strategic investment by a development capital fund to establish web-hosting and online video game publishing services businesses in Québec.
  • Acted for an insurance group in connection with the complex acquisition of the assets of one of Canada's largest distributors of travel and health insurance products.
  • Acted for a private equity fund in connection with the disposition of its investment in a branded hosiery and apparel company.
  • Acted for an international chemical company in the disposition of its Canadian manufacturing facility and certain assets related to its engineering plastics business.
  • Member of corporate team that represented ABRY Partners, LLC in connection with the $361 million acquisition of Q9 Networks Inc. pursuant to a plan of arrangement.
  • Acted for a private equity fund in the sale of a leading electronic business with facilities in Canada, the U.S., Finland, Belgium and the United Kingdom.
  • Assisted one of Canada's largest insurance companies with the complex purchases and sales of brokerage operations by way of asset and share transactions.
  • Assisted a leading national insurance company in the acquisition of shares of a publicly-traded insurance brokerage company.
  • Member of corporate team that represented Royal & SunAlliance Canada Group in connection with the $75 million acquisition of Canadian Northern Shield Insurance Company.

Corporate and Commercial

  • Acted for a leading North American manufacturer and supplier of industrial electric motors and mechanical power transmission products in the reorganization of its Canadian operations.
  • Advised several U.S. and Canadian clients on regulatory and compliance matters relating to the sale and administration of extended warranty programs in Canada.
  • Acted for dissident shareholder group in a successful bid to replace the board of directors of Athabasca Potash Inc.

Securities and Public Markets

  • Acted for Bank of Montreal in its offerings of principal protected notes.
  • Acted for Horizons AlphaPro Gartman Fund in connection with an approximately $58 million initial public offering of units.
  • Acted for Horizons AlphaPro Fiera Tactical Bond Fund in connection with an approximately $33 million initial public offering of units.
  • Acted for Galway Resources Ltd. in connection with a $12 million private placement of units.
