Bob Cranston is a partner in the firm's Corporate Finance/Securities, Corporate & Insurance and Natural Resources & Mining Practice Groups in Toronto. Bob's principal practice includes mergers and acquisitions, with a particular emphasis on the financial services area, as well as securities and secured lending transactions. Bob has extensive experience in structuring and negotiating Canadian and international transactions.

Representative Transactions
- Acted for AXA S.A. in connection with the sale of AXA Canada Inc. to Intact Financial Corporation for C$2.6 billion
- Acted for Angus Consulting Management Limited and its wholly owned subsidiary in the Fort St. John Hospital P3 project; financial close occurred in July 2009. The facilities are scheduled to open in spring 2012, and are expected to cost $297.9 million
- Acted for Angus Consulting Management Limited and its wholly owned subsidiary in the Royal Jubilee Hospital P3 project; financial close occurred in July 2008
- Acted for Teck Resources Limited in the completion of a private placement offering in the U.S. and Canada of US$4.225 billion in aggregate principal amount of senior secured notes in May 2009
- Acted for Teck Cominco Limited with respect to financing in connection with its acquisition of Fording Canadian Coal Trust
- Acted as Canadian counsel to AXA RE in the sale of its worldwide reinsurance business to PARIS RE Holdings for US$1.6 billion
- Acted for AXA Canada on its acquisition of The Citadel General Assurance Company for C$310 million
- Acted as Canadian counsel with respect to lending advice to Teck Cominco Limited on the issue of US$1 billion in notes
- Acted the Newport Income Fund and the Newport Group of Companies on its IPO for C$213 million
- Acted for Teck Cominco Limited on a US$650 million financing
- Represented insurers in connection with regulated acquisitions in Canada
- Represented issuers and underwriters in connection with various cross border public and private offerings
Bob Cranston's work also includes representing international companies in acquisition and divestiture programs throughout Canada and advising public company boards of directors and independent committees of boards as to their duties in connection with various transactions, including related party transactions.
