Professional Activities

Stacey Handley is a partner in the Vancouver office and is a member of the Real Estate Group. Her practice specializes in commercial real estate transactions including major real estate sales, acquisitions, development, subdivision, financing and leasing of commercial properties. Stacey's practice has had a particular focus on the development and financing of gaming, entertainment and resort properties over the past few years, and recently Stacey has been involved as lead counsel in the development of a large wind farm project  in Northern British Columbia.  In connection with her commercial real estate practice, Stacey also advises clients on environmental and First Nation matters.

Representative Transactions

Stacey acts for real estate developers, commercial landlords and tenants, financial institutions and borrowers on acquisitions, sales, leasing and lending matters. Examples of representative work include:

  • Counsel to Great Canadian Gaming Corporation on all real estate and financing matters since 2002 including:
    • Secured a C$200 million revolving credit facility and a US$170 million term loan and issued US$170 million senior subordinated notes for gross proceeds of C$600 million, February 2007.
    • Secured C$450 million in financing and redemption of Series A and Series B Secured Notes, September 2006.
    • Acquisition and development of River Rock Casino Resort, Richmond, British Columbia.
    • Subdivision and redevelopment of Boulevard Casino, Coquitlam, British Columbia.
    • Acquisition of Fraser Downs Racetrack and Casino in Surrey, British Columbia and Sandown Park on Vancouver Island.
    • Acquisition and development of Hastings Racetrack, Vancouver, British Columbia.
    • Redevelopment of View Royal Casino and Nanaimo Casino, Vancouver Island, British Columbia.
    • C$750 million Series B Bonds issued by Great Canadian Gaming Corporation, July 2005.
    • C$250 million Series A Bonds issued by Great Canadian Gaming Corporation, September 2004.
    • Acquisition of Casinos Nova Scotia in Halifax and Sydney, Nova Scotia from Caesar's Entertainment.
  • Counsel to Bear Mountain Wind Limited Partnership, the developer of a 102 megawatt wind farm project in Dawson Creek, British Columbia with an estimated development cost of $190 million.
  • Acted as British Columbia counsel for H&R Reit in C$80 million acquisition of industrial lands portfolio and related financing.
  • Acted for Revy Home Centres Inc. (now West Fraser Home Centres Inc.) on C$220 million sale of home improvement business across Canada to RONA Inc. and continued representation of West Fraser Home Centres Inc. as landlord on numerous RONA Home Improvement Centre locations.
  • Acted for developer on land assembly for film studio development and related C$60 million refinancing.
