Professional Experience Stewart is a senior corporate/securities lawyer with over 25 years experience. His practice focuses on all aspects of corporate and securities law. During the course of his career, Stewart has acted for clients in a variety of industries, including manufacturing (automotive and general), consumer goods and services, mining, waste recycling, real estate development, financial services, securities, mutual funds, petroleum retailing, transportation, communications, sales and distribution, professional services and technology.

Stewart has advised clients on such matters and transactions as:

  • Domestic and cross border business structuring and formation, including corporations, limited partnerships, trusts and joint ventures
  • Corporate governance for public and private clients and their Boards of Directors and committees, including shareholder rights and disputes and securities/stock exchange regulatory compliance and disclosures
  • Corporate finance and capital formation acting for issuers, shareholders and underwriters, including public and private placements of equity and debt offerings, IPOs, tax structured products, special warrant deals and cross border/international offerings; for private and public corporations, limited partnerships and mutual funds
  • Domestic and cross border mergers, acquisitions, divestitures and reorganizations
  • Public issuer take-over bids, reverse take-over bids, issuer bids and going private/related party transactions
  • Restructurings in bankruptcy and insolvency situations
  • Registration, compliance and enforcement matters for capital markets participants

  • Structuring supply and distribution arrangements

  • Technology licensing arrangements
  • Structuring, negotiating and documenting complex contractual relationships

As a result of this diverse experience, Stewart has extensive experience in negotiating complex contracts and business arrangements on behalf of clients and also in organizing and administering the delivery of a diverse suite of legal services to clients in connection with their projects and transactions. A large part of Stewart's practice also involves providing general business law advice to clients, primarily in the private arena. As a result, Stewart has also had extensive exposure to tax, employment, intellectual property and real estate matters. He has comprehensive knowledge of accounting and financial matters and a broad scope of business knowledge as a result of his legal and accounting training and experience.
