The lawyers in our Corporate Group have extensive experience in all aspects of business formation. We represent clients ranging from multi-national conglomerates who are looking to commence business in Canada, to entrepreneurs who are looking for a structure for their new business, to existing businesses which are looking to re-structure their affairs. Through a co-ordinated approach, the lawyers in our Corporate Group work with our colleagues in the Taxation Group to design and implement a tax efficient business structure which protects our clients' business interests while at the same time recognizing the business opportunities available to our clients.  Once the appropriate structure has been identified, the lawyers in our Corporate Group work with our clients to help them get their business up and running. This includes liaising with other lawyers in the firm on matters relating to employment and labour relations, real estate, intellectual property, regulatory, business immigration and other specialty areas to meet the unique needs of each client.

Our business structuring expertise includes advising our clients on:
  • the advantages and disadvantages of various business formation options
  • taxation advice and its interaction with business structures
  • contractual alternatives available to document the relationship between business owners, including shareholder agreements and partnership agreements
  • ongoing maintenance of the chosen business vehicle
  • alternative methods to secure additional financing
  • Canadian regulatory requirements related to their business
