David Cowan is a partner and member of the Capital Markets and M&A Group. David acts on behalf of clients involved in a wide variety of endeavours, including companies with mineral properties in Central and South America, hi-tech companies developing and marketing computer software and hardware and e-commerce businesses. In representing these clients, he advises on a broad range of matters such as initial public offerings, reverse takeovers, public and private financings, stock options and other employment related issues, corporate governance issues as well as proxy fights, takeover defence mechanisms and corporate restructurings.

David represents numerous publicly traded companies, including TSX-Venture and TSX listed companies. He also advises non-public entities on securities and corporate finance matters. Prior to joining the firm, David worked with the provincial government, including the BC Securities Commission, and was involved in the drafting of securities legislation.

Representative Matters

Examples of David's recent representative work on behalf of clients includes the following:

  • Acted for Eastern Platinum Limited in reaching an agreement with certain holders of the minority interests to buy their interests in all the Eastern Platinum's projects, including but not limited to, the Crocodile River Mine for a total of US$13,366,609, June 2016.
  • Acted for VMS Ventures Inc. while Royal Nickel Corporation was purchasing it for a total consideration of $21.1 million, April 2016.
  • Acted for Sennen Resources Ltd (now Sennen Potash Ltd) in fending off a hostile takeover bid, August 2012.
  • Acted for Kincora Copper Ltd in its acquisition of a Mongolian copper project and concurrent C$12 million private placement, July 2011.
  • Acted for Reunion Gold Corp in its $40 million bought deal financing, April 2011.
