Jeff has more than 25 years experience and has expanded upon his practical legal experience in the oil and gas industry to build an extensive legal practice that includes all aspects of energy law. Jeff undertakes a wide variety of matters, including:

•  negotiating and closing petroleum, natural gas and other energy-related asset purchase and sale transactions

•  creating and documenting corporate, joint venture and partnership structures for the financing, development and exploitation of oil and gas assets

•  drafting and negotiating construction, ownership and operation agreements and gas processing and transportation agreements for a variety of energy facilities

•  negotiating and documenting resource based and non-resource based financing transactions

•  structuring long-term and short-term physical sales of natural gas and natural gas liquids

•  negotiating end-user gas supply contracts with a variety of end-users, including co-generation facilities, local distribution companies and commercial end-users negotiating, structuring and documenting transactions related to the establishment of natural gas and natural gas liquids midstream gathering, processing, transportation and storage facilities

•  interpreting and resolving a wide variety of operational issues arising between operators and co-owners of energy assets

•  analysis and advice on a wide variety of issues facing energy companies, including freehold lease issues, gross royalty trust issues, land agreement issues and joint venture agreement issues

Jeff's clients include private and public energy companies of all sizes - junior, intermediate and senior - as well as land companies, service companies and energy marketing companies.

Representative Matters

• Acted for the purchaser in a $52 million purchase of all units in a limited partnership operating Alberta oil and gas properties.

• Acted for a midstream operator in the drafting of construction agreements and with respect to the bid process in respect of a $600 million natural gas liquids pipeline project.

• Acted for a midstream operator in the drafting of construction agreements, ancillary procurement documents and related issues in respect of two large natural gas and natured gas liquids processing facilities.

• Acted for the vendor in a $28 million sale of all shares in a private oil and gas company with oil and gas operations in Alberta and Saskatchewan.

• Acted for the vendor in an $82 million sale of Alberta oil and gas assets.

• Acted for the purchaser in a $25 million acquisition of Saskatchewan oil and gas interests held by a consortium of ten privately-owned vendors.

• Acted for the working interest owners in defending a $40 million dollar action claiming damages based upon the alleged production of natural gas from a terminated freehold lease.
